1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and KSP Electronics ("Company," "we," "us," or "our") regarding your use of our IoT platform, DeltaX temperature monitoring devices, cloud services, and related products and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Definitions

• "Account" means your registered user account for accessing our Services.
• "Device" means any KSP Electronics IoT hardware including DeltaX series temperature sensors.
• "Data" means any information, including sensor readings, collected through your use of the Services.
• "User Content" means any data, information, or materials you upload or transmit through the Services.

3. Eligibility

You must meet the following requirements to use our Services:

• You must be at least 18 years old
• You must have the authority to enter into this agreement
• You must not be prohibited from using the Services under applicable law
• You must provide accurate and complete registration information

4. Account Registration & Security

4.1 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to update such information to keep it accurate and current.

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Not sharing your account credentials with others

4.3 Account Suspension

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

5. Use of Services

5.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

5.2 Prohibited Uses

You agree NOT to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble any software
• Remove or modify any proprietary notices
• Use the Services to transmit malware or harmful code
• Interfere with or disrupt the Services
• Collect user data without consent
• Resell or redistribute the Services without authorization

6. Products & Devices

6.1 Hardware Warranty

KSP Electronics DeltaX devices come with a 1-year limited hardware warranty covering manufacturing defects. This warranty does not cover:

• Physical damage from misuse or accidents
• Unauthorized modifications
• Normal wear and tear
• Damage from improper installation

6.2 Accuracy Disclaimer

While we strive for ±0.5°C accuracy, sensor readings may be affected by environmental factors, placement, and calibration. We recommend regular calibration for critical applications.

6.3 Device Registration

You must register your devices with your account to access cloud features. Each device is linked to one account at a time.

7. Pricing & Payment

7.1 Fees

Certain Services may require payment of fees. All fees are in Indian Rupees (INR) unless otherwise stated. Prices are subject to change with 30 days notice.

7.2 Billing

For subscription services, you authorize us to charge your payment method on a recurring basis. You are responsible for all applicable taxes.

7.3 Refunds

Hardware purchases: 7-day return policy for unopened items. Cloud services: Pro-rated refunds within 30 days of purchase. No refunds after service is actively used.

8. Data & Privacy

8.1 Your Data

You retain all rights to your sensor data and content. We do not claim ownership of your data. See our Privacy Policy for details on data collection and use.

8.2 Data Backup

While we perform regular backups, you are responsible for maintaining your own backups of critical data. We are not liable for data loss.

8.3 Data Exports

You can export your data at any time in standard formats (CSV, Excel, PDF).

9. Intellectual Property

9.1 Our IP

The Services, including all software, designs, trademarks, and content, are owned by KSP Electronics and protected by intellectual property laws. You may not copy, modify, or distribute our IP without written permission.

9.2 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.

10. Disclaimers & Limitations

10.1 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Maintenance, updates, or technical issues may cause temporary unavailability.

10.2 "AS IS" Basis

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KSP ELECTRONICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to indemnify and hold harmless KSP Electronics from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

12.1 By You

You may terminate your account at any time by contacting support. Upon termination, your data will be retained for 30 days before permanent deletion.

12.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for non-payment of fees.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use after changes constitutes acceptance of the modified Terms.

14. Governing Law & Disputes

14.1 Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Telangana, India.

14.2 Dispute Resolution

Before filing a lawsuit, you agree to attempt to resolve disputes through good-faith negotiations. If unresolved within 30 days, either party may pursue legal remedies.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and KSP Electronics.

15.2 Severability

If any provision is found to be unenforceable, the remaining provisions shall remain in full effect.

15.3 No Waiver

Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
